Terms of service

These terms govern your use of ReplyArc (the “Service”), provided by Wondertabs Pte. Ltd. (UEN 202037320G, “Wondertabs,” “we,” “us”), a Singapore-incorporated private company. By creating an account or using the Service you agree to be bound by them. If you do not agree, do not use the Service.

1. Accounts

You must provide accurate information when registering and keep your credentials confidential. You are responsible for activity under your account. We may suspend accounts for abuse, fraud, or non-payment.

2. Acceptable use

You agree not to:

• Use the Service to send spam, malware, or unlawful content.
• Reverse engineer, resell, or sublicense the Service without written consent.
• Attempt to circumvent rate limits, access controls, or billing.
• Use the Service in any way that infringes third-party rights or violates law.

3. Customer data and BYOK

You retain ownership of data you submit to the Service (“Customer Data”). You grant us the limited rights necessary to operate the Service: to ingest, store, process, embed, retrieve, and route that data through the LLM provider whose API key you supply (Bring Your Own Key). We do not use Customer Data to train models.

4. Fees and billing

Paid plans are billed monthly via Stripe. Conversation overage is metered. You authorize automatic charges for subscriptions, taxes, and metered usage until you cancel. Refunds are at our discretion outside of statutory requirements.

5. PSG eligibility

Where ReplyArc is listed under Singapore's Productivity Solutions Grant, eligible SMEs may receive partial co-funding subject to IMDA and Enterprise Singapore criteria. Wondertabs does not guarantee approval; you remain responsible for any amounts your application does not cover.

6. Termination

Either party may terminate this agreement at any time. On termination we retain billing records for the period required by Singapore tax law and delete other Customer Data within 30 days, subject to backups.

7. Warranties and liability

The Service is provided “as is.” To the maximum extent permitted by Singapore law, we disclaim all implied warranties. Our aggregate liability is limited to the fees you paid us in the 12 months preceding the claim. Nothing limits liability for death, personal injury, fraud, or anything else that cannot be limited by law.

8. Governing law

These terms are governed by the laws of Singapore. Disputes are subject to the exclusive jurisdiction of the Singapore courts.
